Terms of Service
These Terms of Service govern all engagements between InterfaceBloomStudio (hereinafter "the Studio"), registered at 33739 Deppendorfer Str. 141, Bielefeld, Germany, and any client (hereinafter "the Client") engaging the Studio's web design and digital layout services.
2.1 Scope of Services
The Studio provides web design, responsive layout architecture, adaptive interface component design, navigation pathway engineering, visual aesthetic system design, interaction and motion design, full-stack website assembly, e-commerce storefront design, landing page and funnel design, design system documentation, and performance and accessibility audit services. The specific scope, deliverables, timeline, and pricing for each engagement shall be defined in a written Statement of Work (SOW) executed by both parties prior to commencement.
2.2 Pricing and Payment
All pricing is quoted in Euros (EUR) or US Dollars (USD) as specified in the applicable SOW. Invoices are issued upon milestones as defined in the SOW or upon completion of the engagement. Payment terms are 14 days from invoice date unless otherwise specified. Late payments incur a statutory interest rate of 9 percentage points above the ECB base rate per annum.
2.3 Intellectual Property
Upon complete settlement of all outstanding invoices, the Studio assigns all worldwide intellectual property rights in client-specific deliverables (including source code, design files, design tokens, and digital assets) directly to the Client. The Studio retains the right to reference the engagement and display completed work in its portfolio, unless the Client objects in writing prior to engagement commencement.
2.4 Client Obligations
The Client shall provide timely access to necessary materials, content, brand assets, and third-party service credentials required for project delivery. Delays caused by the Client in providing required materials may result in adjusted timelines without affecting the Studio's contractual obligations.
2.5 Limitation of Liability
The Studio's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for that specific engagement. The Studio shall not be liable for indirect, incidental, consequential, or punitive damages. This limitation does not apply to damages resulting from intentional misconduct or gross negligence.
2.6 Termination
Either party may terminate an engagement with 14 days written notice. Upon termination, the Client shall pay for all work completed up to the date of termination. All completed deliverables and intellectual property for work already paid for shall be transferred to the Client upon termination.
